The terms and conditions governing your use of NGO Kit and the ngokit.com website.
These Terms of Service ("Terms") govern your use of ngokit.com (the "Website") and the NGO Kit software platform (the "Service"), provided by Sana Global Intelligent Systems, trading as Sanarise Intelligent Systems ("Sanarise", "we", "us").
By accessing the Website or using the Service, you agree to be bound by these Terms. If you are using the Website or Service on behalf of an organization, your acceptance confirms that you have the authority to bind that organization to these Terms.
NGO Kit is an enterprise resource planning (ERP) platform built on Odoo Enterprise, customized for humanitarian NGO operations. The platform is provided under a separate, signed Service Agreement between Sanarise and each client organization.

We do not guarantee uninterrupted availability of this website. Sanarise may modify, suspend, or discontinue the website or any part of it at any time, without notice or liability.
All custom modules, configurations, workflows, integrations, and documentation developed by Sanarise for NGO Kit are the exclusive intellectual property of Sana Global Intelligent Systems. Reproduction, modification, resale, or distribution without written authorization is prohibited.
NGO Kit is built on Odoo Enterprise, which is licensed software owned by Odoo S.A. (Belgium) and subject to Odoo's own license terms. Sanarise is an independent Odoo partner and is not affiliated with or acting on behalf of Odoo S.A.
All data entered by a client organization into the NGO Kit platform remains the sole property of that client. Sanarise claims no ownership over client data and will not use it for any purpose beyond delivering the NGO Kit service.
All content on ngokit.com, including text, design, graphics, and documentation, is owned by Sanarise. Reproduction or use without prior written permission is not permitted.
During the course of pre-sales engagement and any service delivery, both parties may receive or have access to confidential information belonging to the other party. Each party agrees to:
This confidentiality obligation survives termination of these Terms or any Service Agreement for a period of five (5) years.
Implementation terms, pricing, project timelines, deliverables, support levels, data processing obligations, and any other service-specific commitments are documented in a separate signed Service Agreement between Sanarise and the client. These Terms do not supersede or replace any signed Service Agreement — both apply concurrently.
Payment terms are as set out in the applicable Service Agreement and invoice schedule. Sanarise reserves the right to suspend access to the platform for non-payment, as detailed in the Service Agreement.
The Odoo Enterprise license required to operate NGO Kit is a separate relationship between the client and Odoo S.A., unless Sanarise explicitly agrees to intermediate on behalf of the client in a signed Service Agreement.
To the maximum extent permitted by applicable law:
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.
You agree to indemnify and hold harmless Sanarise and its officers, employees, and agents from and against any claims, damages, losses, costs, or expenses (including reasonable legal fees) arising from or related to:
Sanarise may restrict or terminate your access to the website at any time if you breach these Terms or for any other operational reason, without notice or liability.
Termination of the NGO Kit platform service is governed by the applicable Service Agreement. Upon termination, Sanarise will provide a reasonable window for the client to export its data before decommissioning the environment.
These Terms are governed by and construed in accordance with the laws of the Sultanate of Oman. Any dispute arising out of or in connection with these Terms shall first be subject to a 30-day period of good-faith negotiation between the parties. If unresolved, disputes shall be referred to the competent courts of Muscat, Sultanate of Oman, unless an alternative dispute resolution mechanism is agreed upon in a signed Service Agreement.
We may update these Terms from time to time. Active platform clients will be notified of material changes. Visitors to this website will see the updated Terms with a revised effective date. Continued use of the Website or Service following notice of changes constitutes acceptance of the updated Terms.
